Terms of Use (Agreement)

By accessing or using the BIEM website at http://www.biem.org (hereafter the “Site”), you agree to be bound by these Terms of Use (hereafter together the “Terms” or “Agreement”), and to have read about the collection and use of your personal data as described in our Privacy Policy. If you do not wish to be bound by these terms, do not access or use the Site.
Additional terms may apply to the use of the BIEM databases and other related services. Please refer to them for you use of such databases and services.

Privacy policy
BIEM is committed to protecting your privacy and personal data. We have drafted a privacy policy describing our collection and use of personal data and your privacy and data protection rights.
The BIEM privacy policy is part of the Terms of Use of the Site. We thus invite you to read it carefully.

Intellectual property
The entire Site content (architecture, text, images, sound, software, logo, etc.) is protected by intellectual property rights.
As a result, any reproduction, representation, transmission, adaptation, translation, modification, public communication, or any other use of all or part of the Site’s contents carried out without the prior written permission of BIEM is strictly prohibited.

Account creation and security
You may be required or permitted to create user accounts in order to access or use certain parts of the Site. When you open an account or otherwise access the Site on behalf of a member society, you represent and warrant that you have the authority to also bind the member society to the Terms, and hereby do so, and both you and the member society will be responsible for any breach of the Agreement. You acknowledge and agree that you have no ownership or other proprietary interest in any account. You agree that all of the details you provide in connection with your account are shared with the member society on behalf of which you have created the account.

You agree that BIEM has the right, in our sole discretion, to perform any control to ensure that you have the authority to act on behalf of a member society and to investigate any actual or suspected violation of the Terms and to suspend or terminate your account and refuse you access to your account, or to the BIEM Services.

You may not use anyone else’s account at any time, and you may not allow anyone else to use your account at any time. You are responsible for all activity occurring under your account, including all activities or transactions conducted through the use of your account. You are responsible for maintaining the confidentiality of your account username and password and agree not to disclose your username and password to anyone. You agree not to transfer, resell, or otherwise convey your account or the right to use your account to anyone. If you have reason to believe that your account is no longer secure, you must: (i) promptly change your password; and (ii) immediately notify us of the problem by email at info@biem.org. BIEM may require you to change your account username and password.

Your Representations
By accessing, previewing, or otherwise using the Site in any manner, you represent and warrant that you have sufficient legal capacity to enter into the Agreement. You represent and warrant that you have read, understand, and agree to abide by the Terms and any applicab le Additional Terms, and that you have read and understand the data collection and use practices set forth in our Privacy Policy.

Third-Party Services
The Site or the BIEM Services may link to, integrate with, or incorporate third party content, links, or services, including social networks (collectively, “Third Party Services”). BIEM does not endorse and is not responsible for Third Party Services, whether in terms of their correctness, accuracy, validity, propriety, reliability, legality, security, or otherwise, and BIEM disclaims all liability in connection therewith. References to Third Party Services do not imply endorsement of any Third-Party Services by BIEM. Your dealings with Third Party Services are solely between you and the applicable Third-Party Services. To learn more about Third Party Services, consult the Third-Party Services’ respective terms of use and privacy policies.

Representations, warranties
Your use of the Site or the BIEM Services is at your own risk. the service is provided "as is” and "as available" without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law. BIEM does not warrant that the Site or the BIEM Services will be available, uninterrupted, secure, or error-free, that defects will be corrected.

BIEM does not warrant or make any representations regarding the use or the results of the use of the Site or the BIEM Services, or other materials available through the Site or the BIEM Services or any website, app, platform, or service linked to the Site or the BIEM Services, whether in terms of their correctness, accuracy, validity, propriety, reliability, legality, security, or otherwise. The above exclusions will apply to you only to the extent permitted by applicable law.

BIEM does not accept any liability for any indirect loss or damage arising from your use or inability to use the Site or the BIEM Services. If applicable law does not allow all or any part of the above limitation of liability to apply to you, the limitations will apply to you only to the extent permitted by applicable law.

You agree to indemnify and hold harmless BIEM and its directors, officers (collectively, the "Indemnified Parties") from and against all losses, expenses, damages and costs, including reasonable attorney fees and costs, resulting from: (i) your breach of any of the representations, warranties, and agreements made hereunder; (ii) your use of the Site of the BIEM Services; (iii) any use of your account in violation of the Agreement or your failure to fulfil any obligations incurred through the use of your account by you or a third party; or (iv) your wilful misconduct.

Governing law
The Terms shall be governed by, construed, and enforced in accordance with French law.

Changes to these Terms
We reserve the right, in our sole discretion, to modify the Site, its content and/or the Terms (including applicable Additional Terms) from time to time. You agree that we may notify you of modified terms or policies by posting them on the Site, and agree that your continued use of the Site after such notice constitutes your agreement to the modified terms, which will govern your ongoing use of the Site. Thus, you should review the posted Terms each time you use the Site and/or its services. Any modifications to these Terms will supersede the prior version for all activity occurring after the revised version has been made available.
